1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and TrueGuide Technologies ("Company," "we," "us," or "our"), concerning your access to and use of the trueguide.ca website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). We are registered in Ontario, Canada. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.

2. Description of Services

TrueGuide Technologies provides an AI-powered chatbot service designed to assist users in researching immigration-related information using publicly available sources. Our service is specifically targeted to individuals who are already in Canada as temporary or permanent residents and are seeking information about immigration processes.

Key aspects of our services include:

  1. Information Research: Our AI chatbot helps users research immigration-related questions using publicly available information.
  2. Educational Resources: Access to general immigration information and educational content through our platform.
  3. RCIC Referral Service: When professional immigration services are needed, we may refer you to a Regulated Canadian Immigration Consultant (RCIC). Any such referral will be subject to a separate agreement between you and the RCIC.

IMPORTANT DISCLAIMERS:

  • We're not affiliated with or endorsed by Immigration, Refugees and Citizenship Canada (IRCC) or any Canadian government agency.
  • All IRCC forms and government documents are available for free directly from IRCC and other applicable government departments and agencies.
  • Our chatbot provides research assistance and general information only. It does not provide immigration advice or services.
  • Any professional immigration services will be provided solely by a licensed RCIC under a separate agreement.
  • You may complete and file any immigration forms without our assistance or the assistance of an RCIC.

3. Not a Legal Service Provider

TRUEGUIDE TECHNOLOGIES IS NOT A LAW FIRM, REGULATED CANADIAN IMMIGRATION CONSULTANT (RCIC), OR LICENSED IMMIGRATION SERVICE PROVIDER. OUR SERVICES SHOULD NOT BE CONFUSED WITH LEGAL OR PROFESSIONAL IMMIGRATION ADVICE. YOUR AGREEMENT TO THESE TERMS OF USE AND YOUR ACCESS AND USE OF THE SITE AND SERVICES DOES NOT CREATE A PROFESSIONAL-CLIENT RELATIONSHIP BETWEEN YOU AND TRUEGUIDE TECHNOLOGIES.

Our AI chatbot provides research assistance and information gathering services only. Users must understand and acknowledge that:

1. AI Technology Limitations:

  • Our chatbot uses artificial intelligence which can make mistakes
  • AI may provide incomplete, inaccurate, or outdated information
  • AI responses may contain hallucinations or false information
  • AI may misinterpret questions or context
  • AI output should never be relied upon without verification

2. Information Provided Through Our Platform:

  • Is gathered from publicly available sources
  • Is for general informational purposes only
  • Should not be construed as legal or professional immigration advice
  • May not be current or accurate in all circumstances
  • Must be verified with official government sources or immigration professionals
  • Should never be the sole basis for making immigration decisions

3. User Responsibilities:

  • You must independently verify all information provided by our AI
  • You should not rely solely on our AI's responses for important decisions
  • You are responsible for confirming current immigration requirements
  • You must seek professional advice for specific immigration situations

4. No Liability:

  • We are not responsible for any decisions made based on AI responses
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated information
  • We are not liable for any consequences of using or relying upon our AI service

IF YOU REQUIRE IMMIGRATION ADVICE OR REPRESENTATION, YOU MUST CONSULT WITH A REGULATED CANADIAN IMMIGRATION CONSULTANT (RCIC), A CANADIAN LAWYER WHO IS A MEMBER IN GOOD STANDING OF A CANADIAN PROVINCIAL OR TERRITORIAL LAW SOCIETY, OR A QUEBEC NOTARY WHO IS A MEMBER IN GOOD STANDING OF THE CHAMBRE DES NOTAIRES DU QUÉBEC. ONLY THESE AUTHORIZED REPRESENTATIVES CAN PROVIDE IMMIGRATION ADVICE OR REPRESENT YOU IN YOUR IMMIGRATION MATTERS.

4. User Accounts and Personal Information

4.1 Your TrueGuide Account

To access certain features of the Site and Services, you may be required to create an account and establish login credentials. If you create an account, you agree to:

  • Submit accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials secure
  • Not share your account credentials with others
  • Not allow others to use your account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Not create multiple accounts or create an account for someone else

4.2 Personal Information

When you use the Site or our Services, we collect and process certain personal information as described in our Privacy Policy. By using our Services, you acknowledge and agree that:

  • Your use of our Services is subject to our Privacy Policy

5. Service Usage Terms

You may not access or use the Site or Services for any purpose other than that for which we make them available. The Site and Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

5.1 Prohibited Activities

As a user of the Site and Services, you agree not to:

  • Systematically retrieve data or content from our Site or chatbot to create any database, collection, or directory
  • Attempt to decompile, reverse engineer, or hack the chatbot or our systems
  • Use the chatbot for any unlawful purposes or to promote illegal activities
  • Submit false, misleading, or inaccurate information to the chatbot
  • Interfere with or disrupt the operation of the chatbot or Site
  • Share chatbot responses as legal or professional immigration advice
  • Use automated systems or scripts to interact with our chatbot
  • Attempt to bypass any limitations or security measures
  • Use the Services to compete with or harm our business
  • Share your account access with others or allow multiple users on a single account
  • Exploit the Services for data mining, scraping, or similar data gathering activities
  • Submit sensitive personal information about others without their consent
  • Harass, abuse, or harm other users or our staff
  • Impersonate others or misrepresent your affiliation with any person or entity

5.2 Chatbot Usage Guidelines

When using our AI chatbot, you agree to:

  • Provide clear and accurate information in your queries
  • Use appropriate and respectful language
  • Not share confidential or sensitive personal information
  • Understand that conversations are logged for service improvement
  • Verify important information through official sources
  • Report any inappropriate or incorrect responses
  • Use the service responsibly and in good faith

6. Professional Immigration Services

When you need professional immigration services, you may be referred to a Regulated Canadian Immigration Consultant (RCIC). In such cases:

  • The RCIC's services will be subject to a separate representation agreement
  • Your relationship with the RCIC will be independent of your use of our Site and Services
  • We are not responsible for any services provided by the RCIC
  • All immigration advice and representation will be provided solely by the RCIC

You acknowledge that our Site and Services are separate from any professional immigration services that may be provided by an RCIC. We do not guarantee the availability, quality, or outcome of any RCIC services.

7. Fees and Payments

7.1 Service Fees

Currently, access to our Site and chatbot service is provided free of charge. However, we reserve the right to introduce fees for certain features or services in the future. If we introduce any fees:

  • We will notify you in advance of any changes
  • Clear pricing information will be provided before any charges are applied
  • You will have the opportunity to accept or decline paid services
  • Changes to our fee structure will not affect services already provided

7.2 Third-Party Fees

You acknowledge that:

  • Any fees for RCIC services are separate from our Site and Services
  • Government filing fees are separate and are paid directly to the relevant government agencies
  • We are not responsible for any third-party fees or charges
  • All IRCC forms are available for free from the government

8. Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

8.1 Limited License

Subject to your compliance with these Terms of Use, you are granted a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Site and Services for your personal use
  • Interact with our chatbot for information gathering purposes
  • Download or print Content solely for personal, non-commercial use

8.2 Restrictions

You agree that you will not:

  • Modify, copy, reproduce, or create derivative works based on the Site or Services
  • Use any Content for any commercial purpose
  • Attempt to decompile or reverse engineer any software contained on the Site
  • Remove any copyright or other proprietary notices
  • Transfer the Content or materials to another person
  • "Mirror" or "frame" any portion of the Site

8.3 Chatbot Interactions

You acknowledge and agree that:

  • All conversations with our AI chatbot are logged and stored
  • We own all rights to the chatbot's responses and outputs
  • We may use anonymized conversation data to improve our Services
  • You retain ownership of any personal information you provide

Any feedback, suggestions, or ideas that you provide regarding the Site or Services may be used by us without any compensation to you.

9. Disclaimers

WE DON'T MAKE ANY WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF:

  • THE SITE'S CONTENT
  • OUR AI CHATBOT'S RESPONSES
  • INFORMATION PROVIDED THROUGH OUR SERVICES
  • ANY WEBSITES LINKED TO THE SITE

Furthermore, we do not warrant or represent that:

  • The functions contained in the AI chatbot will be uninterrupted or error-free
  • The responses will meet your requirements or expectations
  • The Services will be compatible with your device or software
  • Any errors in the AI system will be corrected

10. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Specifically, we shall not be liable for:

  • Any immigration-related decisions you make based on our Services
  • The accuracy or reliability of the AI chatbot's responses
  • Any consequences of relying on information provided through our Services
  • Any errors in the AI's understanding or interpretation of your queries
  • The results of any referrals to RCICs or other professionals
  • Any outcomes related to your immigration process

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Privacy and Data Protection

While we implement reasonable security measures to protect your information:

  • No data transmission over the internet is 100% secure
  • We cannot guarantee the security of information transmitted to our Site
  • You transmit information to us at your own risk
  • You are responsible for maintaining the security of your account credentials

12. Dispute Resolution

12.1 Governing Law

These Terms of Use and your use of the Site and Services shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

12.2 Dispute Resolution Process

If we can't resolve the issue informally, you agree to the following dispute resolution process

12.3 Agreement to Arbitrate

You and TrueGuide Technologies agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use or your use of the Services shall be resolved through binding arbitration, rather than in court, except that either party may seek injunctive relief in court if necessary to prevent irreparable harm.

The arbitration will be conducted in Toronto, Ontario, under the Canadian Arbitration Association Rules, and will be heard by a single arbitrator. The arbitrator's decision will be final and binding.

12.4 Class Action Waiver

YOU AND TRUEGUIDE TECHNOLOGIES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Term and Termination

13.1 Term

These Terms of Use shall remain in full force and effect while you use the Site or Services. You may terminate your use of the Services at any time by discontinuing use of the Site.

13.2 Termination by Us

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE AND SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR:

  • Breach of any representation, warranty, or covenant contained in these Terms of Use
  • Violation of applicable laws or regulations
  • Conduct that we believe is harmful to others or our business
  • Failure to comply with our guidelines and policies

13.3 Effect of Termination

Upon termination of your access to the Site or Services:

  • Your right to access and use the Services will immediately cease
  • We may delete or deactivate your account and all related information
  • We may retain information as required by law or for legitimate business purposes
  • Sections related to intellectual property, disclaimers, limitations of liability, and dispute resolution shall survive termination

14. General Provisions

14.1 Electronic Communications

By using our Services, you consent to receive electronic communications from us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements.

14.2 Entire Agreement

These Terms of Use, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and us concerning the Site and Services.

14.3 Severability

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will otherwise remain in full force and effect and enforceable.

14.4 No Waiver

Our failure to enforce any right or provision of these Terms of Use shall not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of TrueGuide Technologies.

14.5 Assignment

These Terms of Use and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by us without restriction.

14.6 Changes to Terms

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following the posting of revised Terms of Use means that you accept and agree to the changes.
